End User License Agreement

Plain English summary: You get a personal license for up to 2 devices you own. Don't share, resell, or reverse-engineer the software. Your data never leaves your computer. If something goes wrong, our liability is limited to the amount you paid.

1. Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and GuideSignal Labs ("Licensor") for the use of ClipGenius and any other GuideSignal Labs software ("Software"). By installing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

2. License Grant

Subject to the terms of this Agreement, GuideSignal Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software for your own personal, non-commercial purposes on up to two (2) devices that you own or control.

A Pro license key activates the Software on up to two devices simultaneously. To use the Software on a different device, you must first deactivate it on one of your existing devices via Settings.

3. Restrictions

You may not:

Copy, modify, or distribute the Software or any portion of it
Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software
Sublicense, sell, rent, lease, transfer, or otherwise make the Software available to any third party
Share, resell, or transfer your license key to another person
Use the Software for any unlawful purpose or in violation of any applicable law
Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software

4. Ownership

The Software is licensed, not sold. GuideSignal Labs retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights in the Software.

5. Privacy and Data

The Software runs entirely on your computer. All clipboard data, session history, and settings are stored locally on your device and are never transmitted to GuideSignal Labs or any third party. License key verification is performed locally on your device — no internet connection is required.

The only external network activity is a one-time download of an AI model file (approximately 80 MB) the first time you use AI features. After this download, all AI processing runs fully offline on your device.

6. Updates

GuideSignal Labs may release updates, patches, or new versions of the Software. This Agreement applies to all such updates unless a separate agreement accompanies them.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must destroy all copies of the Software in your possession. The following sections survive termination: Ownership, Disclaimer of Warranties, Limitation of Liability, and General.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. GUIDESIGNAL LABS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUIDESIGNAL LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF GUIDESIGNAL LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GUIDESIGNAL LABS'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless GuideSignal Labs from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your violation of this Agreement or your use of the Software.

11. Governing Law

This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising under this Agreement shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

12. General

This Agreement constitutes the entire agreement between you and GuideSignal Labs with respect to the Software and supersedes all prior or contemporaneous agreements. If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force.

GuideSignal Labs may update this Agreement from time to time. Continued use of the Software after notice of changes constitutes acceptance of the updated Agreement.
